1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of NextLinks ("Service"), operated by NextLinks AI ("Company", "we", "us", or "our"), a Florida-based entity. By using our Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.

2. Service Description

NextLinks is a multi-tenant cloud-based link management and analytics platform. The Service allows users to create, manage, and track links with customizable routing rules and analytics. While we strive to maintain high standards, the Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

3. Account Terms

You must:

  • Provide accurate and complete registration information
  • Be responsible for maintaining the security of your account
  • Promptly notify us of any security breaches
  • Be responsible for all activities under your account
  • Not use the Service for any illegal or unauthorized purpose

4. Acceptable Use

You agree not to use the Service to:

  • Distribute malware or harmful code
  • Engage in phishing or fraudulent activities
  • Distribute spam or unsolicited communications
  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Distribute adult, explicit, or inappropriate content
  • Engage in deceptive practices or misrepresentation
  • Conduct unauthorized data collection or scraping

4A. Acceptable Use Policy

This Acceptable Use Policy ("AUP") outlines permitted and prohibited uses of the Service. Violation of this AUP may result in immediate suspension or termination of your account.

4A.1 Link Content and Destinations

Links managed through our Service must not:

  • Redirect to content containing malware, viruses, or malicious code
  • Facilitate phishing or identity theft
  • Promote illegal goods, services, or activities
  • Contain or redirect to content that violates intellectual property rights
  • Distribute pornographic, explicit, or adult content
  • Promote hate speech or discriminatory content
  • Engage in URL masking for deceptive purposes
  • Facilitate cryptocurrency or financial scams

4A.2 Traffic and Usage Patterns

The following activities are prohibited:

  • Generating artificial clicks or traffic
  • Using automated systems to create excessive load
  • Attempting to bypass usage limitations
  • Creating multiple accounts to circumvent restrictions
  • Sharing accounts between multiple organizations
  • Reselling or redistributing the Service without authorization

4A.3 Data Collection and Privacy

You must:

  • Comply with all applicable privacy laws and regulations
  • Obtain necessary consents for data collection
  • Provide appropriate privacy notices to end users
  • Not use the Service for unauthorized surveillance
  • Not attempt to identify individual users without legal basis
  • Not combine our analytics data with other sources to de-anonymize users

4A.4 Security Requirements

You are required to:

  • Maintain secure password practices
  • Implement appropriate access controls
  • Report security incidents promptly
  • Not attempt to breach or test system security
  • Not interfere with other users' access to the Service
  • Not attempt to access unauthorized areas of the Service

4A.5 Compliance Monitoring

We reserve the right to:

  • Monitor compliance with this AUP
  • Investigate suspected violations
  • Take appropriate enforcement action
  • Report illegal activities to relevant authorities
  • Remove or disable access to prohibited content
  • Suspend or terminate accounts for violations

5. Service Suspension

We reserve the right to suspend or terminate accounts for suspicious or malicious use. Common reasons for suspension include:

  • Excessive traffic patterns indicating automated abuse
  • Distribution of malware or phishing content
  • Violation of intellectual property rights
  • Spamming or unsolicited mass communication
  • Fraudulent or deceptive practices
  • Non-payment or payment disputes
  • Violation of our acceptable use policies
  • Security incidents or compromised accounts

6. Payment Terms

Accepted Forms of Payment: Credit Card, Invoicing and Purchase Orders accepted.

Monthly Subscriptions: Refunds are not available after 100 clicks have been processed. You may cancel your subscription at any time, effective at the end of the current billing period.

Annual Subscriptions: No refunds are available after 30 days from the purchase date. Early cancellation does not entitle you to a refund of the remaining period.

7. Service Level Agreement

While we strive to maintain high availability and performance, we make no guarantees about the Service's functionality or reliability. We will make reasonable best efforts to:

  • Maintain system uptime and availability
  • Process clicks and analytics data accurately
  • Provide timely customer support
  • Address security concerns promptly
  • Implement system improvements and updates

8. Limitation of Liability

In no event shall NextLinks AI be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses. Our total liability for any claims under these Terms shall not exceed the amount you paid us in the past six (6) months.

9. Indemnification

You agree to indemnify, defend, and hold harmless NextLinks AI and its officers, directors, employees, agents, and affiliates from and against any claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your content and links managed through our Service
  • Your violation of these Terms
  • Your violation of any third party rights
  • Any claims arising from your customers' or end users' use of links managed through our Service

10. Dispute Resolution

Any dispute arising from these Terms shall be resolved through binding arbitration in Florida, United States, under the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall be conducted in English. The award rendered by the arbitrator shall be final and binding.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding shall be brought exclusively in the federal or state courts located in Florida.

12. Modifications to Service

We reserve the right to modify or discontinue, temporarily or permanently, the Service with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

13. Changes to Terms

We reserve the right to update or change these Terms at any time. We will provide notice of any material changes through the Service or via email. Continued use of the Service after such modifications constitutes acceptance of the updated Terms.
